WITHOUT ALL OF THE LEGALESE, HERE ARE SOME IMPORTANT THINGS WE AT BIS RESEARCH WANT YOU TO KNOW.

These terms of service govern your engagement with BIS Research Inc. as an ‘expert’ listed on our platform. We may update these terms periodically, so it is your responsibility to visit this page frequently to update yourself of any changes.

Please represent yourself professionally and courteously in all client interactions. We pride ourselves in vetting and recruiting only top experts. In particular, you must at all times use best efforts to perform your services such that the results are satisfactory to us and our clients.

You must comply with all applicable laws and regulations for acting as a consultant. You also must comply with our policies and procedures relating to your access to our platform and use of our resources. In particular, you must comply with our policies relating to business conduct, security, privacy and use of our information technology, equipment, networks and other resources.

You will be paid usually within 3-5 business days after completion of consultation. You are solely responsible for reporting and paying all taxes on your earnings from us. We will not withhold any taxes on your payments. Your services are personal in nature and you must not engage any personnel in providing services to us or our clients without our written authorization. Regardless, you are solely responsible for the acts and omissions of your agents.

As an independent contractor, you are not entitled to any of our employee benefits. You do not have authority to make any promises on our behalf nor bind us to any third party contracts. Our relationship is solely as principals and our engagement is not intended to, nor does it create, any association, partnership, joint venture, employer-employee or agency relationship between you and us for any purpose.

We work hard to make BIS Research a great experience.We ask that you refrain from soliciting our personnel, other expertsor clients without our consent. In particular, you must not render services outside of the platform to anyone whom you were introduced through the platform or otherwise without our consent.

Please don’t include any personal contact information in your bio, “Why do you think you’re a good fit for this questions” response, in your answer to your client’s question, or anywhere in your interactions with clients. This may lead to account suspension or termination after repeated offenses. We reserve the right to redact such information at our discretion.

Please keep all information you use and learn on BIS Research or our platformstrictly confidential. Your confidentiality obligations will continue until the information becomes publicthrough no fault of yours. Every interaction is private and all information is proprietary and constitutes exclusively our trade secret and intellectual property. You agree that your consultation and any materials you produce for us or our clients will be deemed a “work made for hire” as defined in 17 U.S.C. § 101 for purposes of intellectual property rights. You do not, and shall not claim to be, our ‘employee,’ but will only be deemed to be a ‘statutory employee’ for purposes only of workers’ compensation and unemployment insurance as defined in applicable California laws, including, without limitation, Cal. Lab. Code § 3351.5(c), Cal. Unemp. Ins. Code §§ 686 and 621(d). If, for any reason, your consultation does not constitute a “work made for hire” under applicable laws, you irrevocably and exclusively assign us, without additional consideration, all right, title and interest throughout the world in and to all intellectual property rights in your works. You have no right or license to use, publish, reproduce, prepare derivative works based upon, distribute, perform, or display any non-public materials available on or through the platform. You also have no right or license to use our trademarks, service marks, trade names, trade names, logos, symbols or brand names.

Please don’t answer a question in an interventional area or for a company that represents a conflict of interest. Please recuse yourself from the exchange.

If you claim a question and are selected by the client, please respond promptly. It is expected that consultants answer within 24-48 hours of being selected for consultation orto answer a question. Time is of the essence.

Please use proper grammar, punctuation, vocabulary and tone when answering your clients. They are counting on A+ responses!

We reserve the right to terminate your engagement at any time or to de-register you as an ‘expert.’ If you wish to end your engagement, we ask that you provide us with at least 2 weeks’ notice and timely complete all consultations that you have accepted prior to your termination. At or prior to termination, you must immediately return all our confidential information in your possession, including client materials, BIS reports etc.

If you are unhappy withus or any client interactions, we encourage you to directly reach out to our management team to discuss and resolve the issue. If you still are unsatisfied, you may seek legal remedies but only before federal or state courts located in the City of Fremont, California, USA. BIS Research Inc. is a U.S. company and our relationship is governed by California law. Regardless, if you breach your confidentiality, intellectual property,non-competition or non-solicitation obligations, we may seek equitable remedies in any appropriate court having jurisdiction anywhere in the world.
